1. Acceptance of Terms

Welcome to TalkStock (hereinafter referred to as "the Platform" or "the Service"). By accessing, browsing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service (hereinafter referred to as "these Terms") in their entirety. If you do not agree to any part of these Terms, please discontinue use of the Service immediately.

If you are under 16 years of age, you must review these Terms under the supervision of a parent or legal guardian and obtain their consent before using the Service. Your parent or legal guardian shall bear joint liability for all actions taken through your use of the Service.

TalkStock reserves the right to modify these Terms at any time. Revised Terms will be posted on this page. Your continued use of the Service following any modification constitutes your acceptance of the updated Terms.

2. Service Description

TalkStock is an artificial intelligence (AI)-powered stock analysis platform that provides the following core services:

• AI-Powered Chat Analysis: Interactive natural language conversations providing stock-related technical analysis, data queries, and market information.
• Market Quote Information: Stock market quote data for reference purposes. Data may be subject to delays, and accuracy is not guaranteed.
• Technical Indicator Analysis: Calculation and visualization of widely used technical indicators, including RSI, MACD, KD, and others.
• Smart Stock Screening: Automated stock screening based on natural language descriptions of desired criteria.
• Subscription Plans: Tiered subscription plans are available. Subscription fees primarily cover the computational costs of AI language model services. Market data such as stock quotes and charts are derived from publicly available sources and are not the basis for subscription charges.

The Platform may add, modify, or remove features at any time without prior individual notice.

3. AI Analysis Disclaimer

By using the Service, you fully understand and agree to the following:

• AI analysis results do not constitute investment advice and should not be construed as a recommendation to buy, sell, or hold any securities.
• The Platform assumes no liability for any losses arising from investment decisions made in reliance on AI analysis results, including but not limited to direct losses, indirect losses, consequential losses, or loss of profits.
• AI technology has inherent limitations. Analysis results may contain errors, be incomplete, or be outdated.
• Past market performance does not guarantee future results. The predictive capability of AI models is constrained by historical data and prevailing market conditions.
• You are strongly advised to consult a licensed and qualified financial advisor before making any investment decisions.

All investments carry risk. The value of securities may go up or down. You should carefully review all relevant disclosures before investing.

4. Data Accuracy

The stock market data, quote information, and related content presented on this Platform are aggregated from publicly available sources. While we strive to provide accurate and timely information:

• The Platform does not guarantee the accuracy, completeness, timeliness, or reliability of any data.
• Quote information may be subject to delays, the duration of which depends on data sources and network conditions.
• Interruptions or anomalies in data source services may prevent data from being displayed or updated normally.
• Historical data may be adjusted due to factors such as stock splits, dividends, mergers, or delistings. Data before and after adjustments may differ.

Users should independently verify the accuracy of critical data and refer to official announcements from the relevant stock exchange authorities.

5. Service Availability

The Platform strives to deliver stable, high-quality services but does not guarantee that the Service will be uninterrupted, timely, or error-free. The following circumstances may cause temporary service interruptions or limitations:

• Scheduled or unscheduled system maintenance, upgrades, and updates.
• Force majeure events, including but not limited to natural disasters, governmental actions, war, terrorism, or pandemics.
• Failures or outages affecting network service providers or cloud infrastructure.
• Cyberattacks (such as DDoS attacks) or other security threats.
• Disruptions or discontinuation of third-party API services (such as AI model providers or data suppliers).

The Platform assumes no liability for service interruptions or data loss caused by any of the above circumstances. We recommend that you regularly back up important analysis results and chat records.

6. Intellectual Property

All intellectual property rights in the Platform and its content, including but not limited to software code, user interface design, graphics, logos, text, trademarks, and service marks, are owned by TalkStock or its licensors and are protected by applicable copyright laws and international intellectual property treaties.

Without the prior written authorization of the Platform, you may not reproduce, distribute, publicly transmit, modify, create derivative works from, decompile, or reverse-engineer any content of the Platform in any form.

You retain ownership of the queries and conversations you input through the Platform. However, you grant TalkStock a non-exclusive, worldwide, royalty-free license to use such content for the purposes of providing the Service, improving AI model quality, and enhancing user experience. This license does not include the right to publicly display or sell your personalized content to third parties.

7. User Conduct

When using the Service, you agree not to engage in any of the following activities:

• Using the Service for any activities that violate applicable local, national, or international laws and regulations.
• Abusing the API interface, including but not limited to excessive requests, automated scraping, or stress testing.
• Attempting to reverse-engineer, decompile, or disassemble the Platform's software or algorithms.
• Unauthorized scraping, collection, or storage of data or content from the Platform.
• Sharing your account with others, selling your account, or sharing account credentials.
• Disseminating false market information, manipulating market sentiment, or engaging in activities related to insider trading through the Platform.
• Uploading or transmitting any content containing viruses, malware, or other harmful code.
• Interfering or attempting to interfere with the normal operation of the Platform, including but not limited to launching denial-of-service attacks.

Users who violate the above rules may have their accounts immediately suspended or terminated without refund of any fees paid. If illegal activity is involved, the Platform will cooperate with relevant authorities in their investigation.

8. Account Security

You are responsible for maintaining the security of your account, including:

• Safeguarding your login credentials (email, password, and third-party login authorizations).
• Setting strong passwords using a combination of letters, numbers, and special characters.
• Enabling two-factor authentication (2FA) is strongly recommended for enhanced account security.
• Reporting any unauthorized access or suspicious activity on your account to the Platform immediately.

The Platform employs account security mechanisms, including automatic lockout after 5 consecutive failed login attempts (30-minute lockout period) and other protective measures.

The Platform assumes no responsibility for any losses or damages resulting from your failure to adequately safeguard your account information. All actions performed through your account are deemed to have been authorized by you.

9. Subscription and Refunds

The Platform offers tiered subscription plans, subject to the following terms:

• Free Trial: New users are entitled to a 7-day free trial with access to premium features. If no subscription is purchased upon expiration, the account will automatically revert to the free plan.
• Auto-Renewal: Subscriptions are set to auto-renew. The system will automatically charge the applicable fee before each billing period expires. You may cancel auto-renewal at any time through your account settings.
• Grace Period: After cancellation, you may continue to use paid features until the end of the current billing period. A 3-day grace period following cancellation allows you to reinstate your previous plan.
• Refund Policy: Within 7 days of payment, if you have not extensively used premium features, you may request a full refund. After 7 days or after extensive use, refunds will not be issued. Refunds are processed via the original payment method.
• Price Changes: The Platform reserves the right to adjust subscription prices. Price changes will be communicated at least 30 days in advance and will take effect at the beginning of the next billing cycle.

10. Service Modification and Termination

The Platform reserves the following rights:

• To modify, suspend, or permanently discontinue all or part of the Service at any time without prior notice.
• For major feature changes or service discontinuation, the Platform will make reasonable efforts to provide advance notice via email or platform announcement.
• If a user violates these Terms, the Platform may immediately terminate or suspend their account without prior notice and without any obligation to compensate.
• The Platform assumes no responsibility for data loss resulting from service termination. Users are advised to regularly export important data.

11. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Platform makes no warranties of any kind, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
• TalkStock's total aggregate liability shall not exceed the total fees you have actually paid to the Platform in the 12 months preceding the event giving rise to the claim. If you have not paid any fees, the Platform's maximum liability shall be limited to USD 50.
• The Platform shall not be liable for the following: indirect, incidental, special, punitive, or consequential damages, including but not limited to loss of profits, loss of data, loss of goodwill, or business interruption.
• The above limitations of liability apply regardless of the legal theory upon which the claim is based, and whether or not the Platform has been advised of the possibility of such damages.

12. Governing Law

Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration administered by the International Chamber of Commerce (ICC) in accordance with its Arbitration Rules in force at the time of filing. The seat of arbitration shall be determined by the ICC Court. The language of the arbitration shall be English.

If any provision of these Terms is found to be invalid or unenforceable by a court or tribunal of competent jurisdiction, such invalidity or unenforceability shall not affect the remaining provisions, which shall continue in full force and effect.
